Subscription Agreement

Welcome to the Umaya Membership and Auto-Renewal Service!

Supernovation, Inc. (including its affiliates, hereinafter referred to as "we" or "us") is the developer and operator of the Umaya App (hereinafter referred to as "this App" or "Umaya").

This App provides a combination of free and paid network services. You must become a registered user of this App before you can purchase the membership and auto-renewal services. To protect your rights and interests, please carefully read all the contents of this service agreement (hereinafter referred to as "this Agreement") before purchasing the membership and auto-renewal services.

We remind you to carefully read all the following content. If you do not agree with any clause of this Agreement, please do not proceed to the next step or use the services under this Agreement. When you confirm your acceptance of this Agreement or start using the services provided by this App under this Agreement, it indicates that you and us have reached an agreement and voluntarily accept and abide by all terms of service, membership and auto-renewal service agreements, and privacy policies of this App.

I. Confirmation and Acceptance of the Agreement

The content of this Agreement and various rules that have been or may be published/updated by this App in the future, such as the Terms of Service and Privacy Policy, are integral parts of this Agreement and have the same legal effect as the main text of this Agreement. In the event of a conflict between the main text of this Agreement and the aforementioned rules, the main text of this Agreement shall prevail. Unless explicitly stated otherwise, your use of the membership and auto-renewal services is bound by this Agreement.

If this Agreement and related service terms need to be revised due to business development needs, we will announce it in an effective manner within the Umaya App. After updating the aforementioned terms, if you do not accept the modified terms, you can choose to terminate the use of the membership and auto-renewal services. If you continue to use this service, it will be deemed that you have accepted the modified agreement.

II. About Membership and Auto-Renewal Services

The membership subscription service and auto-renewal service are paid services provided by this App. You can only use this service after claiming or paying to activate the service in accordance with the membership service regulations.

1. Membership and Auto-Renewal Services

  • Membership Subscription Service: Refers to a series of exclusive privileges you enjoy after claiming or activating this service. You can apply to activate the membership subscription service, check your membership status, expiration date, and other related information on the "Settings" --> "Membership Plan" page in the Umaya App.

  • Auto-Renewal Service: If you activate the auto-renewal service, you authorize Umaya to activate the membership subscription service, and authorize Umaya to deduct the service fee for the next billing cycle from your designated third-party payment account when your selected billing cycle is about to expire.

  • Checking Subscription Status: You can apply to activate the auto-renewal service in the Umaya App. You can confirm your subscription status by sending an email to [email protected], or check your subscription records on your Apple device. Apple device users can view this by going to iOS device "Settings" --> "Apple ID" --> "Subscriptions".

For specific service content and activation procedures, please refer to the information provided within the application.

2. Activation of Services

Users must follow the activation procedures and regulations for in-app membership services, and claim or pay to activate the service before using it. In addition, you may also enjoy and use this service through other methods recognized by us, such as accepting friend invitations or trial promotional activities.

  • Apple device users must activate this service through Apple's In-App Purchase (IAP) after paying the agreed fees.

  • Membership service fees are subject to the prices displayed on the membership service page of this App at the time of activation. The prices you pay include local taxes.

  • Once this service is activated, it cannot be transferred. Regardless of whether you actually use the service or access the digital content within the corresponding service period, the paid fees are non-refundable.

3. Service Duration

After activating the membership, the service period you receive will be synchronized with the subscription cycle you purchased on the relevant channel (e.g., Apple App Store). The valid service period is subject to the actual service cycle recorded and issued by the channel. After the expiration date, exclusive membership privileges will be automatically canceled.

4. Code of Conduct

You may not activate this service for yourself or others through any of the following methods:

  • Activating this service for profit, business, or other non-personal purposes;

  • Activating this service via any robotic software, spider software, crawler software, screen-refreshing software, or any other programs or software;

  • Activating this service through improper means or in a manner that violates the principle of good faith;

  • Activating this service through methods other than those specified by this App;

  • Activating this service by infringing on the legitimate rights and interests of us or others;

  • Activating this service in ways that violate relevant laws, administrative regulations, national policies, etc.

When using this service, you must not use it to engage in the following behaviors, including but not limited to:

  • Publishing, transmitting, disseminating, or storing content that violates national laws, endangers national security and unity, social stability, public order and good customs, social morality, or content that is insulting, defamatory, obscene, or violent;

  • Infringing upon others' legitimate rights such as portrait rights, intellectual property rights, trade secrets, etc.;

  • Fabricating facts or concealing the truth to mislead or deceive others;

  • Publishing, transmitting, or disseminating advertising information and spam;

  • Engaging in other acts that violate laws, regulations, policies, public order, and social morals.

This service is for your personal use only. Unless specifically permitted in writing by us, you shall not engage in the following acts:

  • Collecting usernames, email addresses, and other related information of other users in this service through any means, and interfering with or harassing other users by sending spam, chain emails, spam texts, instant messages, etc.;

  • Publishing information containing advertising, publicity, promotional content, etc., through this service;

  • Sub-licensing this service to others;

  • Other behaviors not explicitly permitted in writing by Umaya.

5. Responsibility for Your Actions

You fully understand and agree that you must be responsible for all actions after purchasing the membership and auto-renewal services, including but not limited to any content you publish and any consequences arising therefrom. You should independently judge the content in this service and bear all risks arising from the use of the content, including risks arising from reliance on the correctness, completeness, or usefulness of the content.

6. Modification, Suspension, or Termination of Services

You fully understand and agree that the functions and services we provide are continuously updated and developed. Umaya has the right to decide and modify the specific content of the membership subscription service based on product plans and operational conditions. If a certain function or service changes, we will announce it in an effective manner within the Umaya App. If you do not accept the modified membership subscription service, you may choose to terminate the use of the membership and auto-renewal service. If you continue to use this service, you will be deemed to have accepted the modified membership subscription service.

Due to the special nature of internet services, we may suspend or terminate providing this service to you in accordance with relevant laws, mutual agreements, or when otherwise necessary. At that time, we will protect your legitimate rights and interests in accordance with the law.

III. Privacy Policy

To provide you with a better experience, we may collect your relevant personal information. We attach great importance to the protection of user personal information. When you use the membership and auto-renewal services provided by this App, you agree that we collect, store, use, disclose, and protect your personal information in accordance with our Privacy Policy.

When you incur a payment by purchasing subscription services or goods, we will process your order through third-party applications (including app stores and other third-party payment platforms). Third-party applications may collect certain financial information in the name of Umaya, such as your name, email address, and other order information. For detailed personal information policies, please read the Privacy Policy. If you do not agree, please do not activate and stop using this service.

IV. Liability for Breach of Contract

If we discover or receive reports from others that you have violated any provisions of this Agreement, we have the right to independently judge and take technical measures to delete, block, or disconnect relevant information according to the law. At the same time, we reserve the right to take measures depending on the nature of your behavior, including but not limited to suspending or terminating part or all of this service, suspending or terminating your use of the Umaya App, and pursuing your legal liabilities. We are not obligated to refund any fees to you, and you shall solely bear the resulting losses (including but not limited to communication interruptions, clearing of related data, unused service fees belonging to us as liquidated damages, etc.). If you cause losses to us, you shall also make compensation.

If you violate any provision of this Agreement, resulting in any third-party damage, you shall bear independent responsibility; if we suffer losses as a result, you shall also make compensation accordingly.

V. Miscellaneous

  • The copyright of this service agreement belongs to Supernovation, Inc., which reserves all rights of interpretation and modification.

  • The effectiveness, performance, interpretation, and dispute resolution of this service agreement shall be governed by the laws of the People's Republic of China. If any part of these service terms is invalid due to conflict with current laws, it shall not affect the validity of the other parts.

  • If any dispute or controversy arises between you and us, it should first be settled through friendly negotiation; if negotiation fails, you agree to submit the dispute or controversy to the competent people's court in the jurisdiction where Supernovation, Inc. is located.

  • The failure or delay in exercising rights under this Agreement does not constitute a waiver of these rights, and the single or partial exercise of any rights under this Agreement does not preclude the exercise of any other rights.

Auto-Renewal Service Rules

These rules are considered a supplementary agreement to the Membership and Auto-Renewal Agreement, are an inseparable part of it, and constitute a unified whole. If there is a conflict between these rules and the main Agreement, these rules shall prevail. This service is an auto-renewal service provided to you on the premise that you have already activated the Umaya membership service. If you use the auto-renewal service, it implies that you understand and agree:

  1. Service Name: Auto-Renewal

  2. If you have activated this service, it implies that you authorize us to deduct the fee for the next billing cycle from the balance of your iTunes account (hereinafter collectively referred to as "Account") when your subscription is about to expire. The prerequisite for realizing this service is that you have bound your Umaya membership account with the aforementioned account, and the deduction can be successfully made. You shall bear the responsibility for any failure of auto-renewal due to insufficient deductible balance in the aforementioned account.

  3. Umaya provides continuous monthly and continuous annual services for you to choose from. The fees and subscription cycles of the auto-renewal services will be subject to the information displayed on the membership service page when you activate the service. This price may be adjusted in accordance with price changes for the subscription service.

  4. Accounts that have purchased auto-renewal services will be charged the corresponding fee 24 hours before the expiration of the subscribed service. If you choose to activate continuous services, it implies that you authorize Umaya to deduct the service fee for the next billing cycle from your account when your membership subscription service is about to expire.

  5. You understand and agree that the membership subscription service is a paid service, and Umaya will charge corresponding internet value-added service usage fees. Regardless of whether you actually use the service or access related content within the service period, the paid fees are non-refundable.

  6. Restore Purchases: If a prompt shows successful purchase, but the purchased membership plan is not displayed in the account, you can handle it by going to Umaya App "Settings" --> "About" --> "Restore Purchase". The time to restore purchases may vary depending on the App Store's response time. If there is no response for a long time, you can exit the application and try again, or contact customer service at [email protected].

  7. Cancellation Method: To cancel the auto-renewal service, please operate to cancel at least 24 hours in advance. Apple In-App Purchase (IAP) auto-renewal users can unsubscribe as follows:

    • Open your Apple device's "Settings" --> Tap your "Apple ID" --> Go to "Subscriptions" --> Select Umaya, and tap "Cancel Subscription".

  8. If you want to change the auto-renewal plan within the validity period of the auto-renewal, you must first cancel the current auto-renewal plan, and then re-activate the renewal service for a different plan.

  9. One Apple ID can only activate the auto-renewal service for one Umaya account.
